1. Our Services

Pathway Digital MK provides digital marketing and related services, including but not limited to SEO, social media marketing, PPC/paid advertising management, website development, ecommerce management, branding and creative design, content marketing, online reputation management, influencer marketing, and video production. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, quotation, or agreement between Pathway Digital MK and the client, which forms part of these Terms.

2. Free Consultations and Quotes

Free strategy calls, consultations, and quotes provided through our contact form, WhatsApp, or phone are for informational purposes and do not constitute a binding contract until both parties agree on a scope of work, pricing, and payment terms in writing.

3. Pricing and Payment

  • Pricing displayed on our website is indicative and may be shown in a currency estimated from your location for convenience; final pricing and applicable currency will be confirmed in your proposal or invoice.
  • Fees for ongoing services (such as SEO, SMM, or PPC management) are typically billed on a recurring basis as agreed during onboarding, while one-off projects (such as website development) may follow a milestone-based payment schedule.
  • Any money-back guarantee offered to new clients applies only under the specific conditions communicated at the time of the offer and does not apply to third-party costs already incurred on your behalf, such as ad spend or software licensing fees.
  • Late or non-payment may result in suspension of Services until outstanding amounts are settled.

4. Client Responsibilities

To enable us to deliver Services effectively, you agree to provide timely access to necessary accounts, assets, brand materials, feedback, and approvals. Delays in providing required information or approvals may affect project timelines and are not the responsibility of Pathway Digital MK.

5. Advertising Spend and Third-Party Platforms

Where our Services include managing paid advertising campaigns (Google Ads, Meta/Facebook, Instagram, TikTok, LinkedIn, or other platforms), any advertising spend is separate from our management fees unless explicitly stated otherwise. We are not responsible for the policies, pricing changes, account restrictions, or service interruptions imposed by third-party advertising or hosting platforms.

6. Intellectual Property

Unless otherwise agreed in writing, ownership of final approved deliverables (such as website code, designs, and creative assets) transfers to the client upon full payment. Pathway Digital MK retains the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing. Any pre-existing tools, templates, or proprietary processes used to deliver the Services remain the property of Pathway Digital MK.

7. Results and Performance

Digital marketing results, including SEO rankings, ad performance, engagement, and traffic, depend on numerous factors outside our control, including market conditions, competition, and third-party platform algorithms. While we apply industry best practices to every campaign, we do not guarantee specific rankings, revenue, or return on investment.

8. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the course of the engagement, and to use it only for the purpose of delivering or receiving the Services.

9. Cancellation and Termination

Either party may terminate an ongoing engagement in accordance with the notice period specified in the applicable proposal or agreement. Fees for work completed and costs already incurred (such as ad spend or third-party licenses) up to the termination date remain payable.

10. Limitation of Liability

To the fullest extent permitted by law, Pathway Digital MK shall not be liable for any indirect, incidental, or consequential damages arising from your use of our website or Services, including loss of profits, data, or business opportunities. Our total liability for any claim relating to the Services shall not exceed the amount paid by the client for the specific service giving rise to the claim.

11. Website Use

You agree not to misuse our website, including attempting to gain unauthorized access to our systems, submitting false information through our forms, or using automated tools to scrape or interfere with the site's normal operation.

12. Governing Law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services or for legal and operational reasons.
